Terms of Use

Welcome to Agencify. These Terms of Use (“Terms”) govern your access to and use of the Agencify platform, including our website, web application, client portal, employee portal, browser extension, and any related services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
Agencify is an all-in-one agency management platform that centralizes client communication, project and task management, team collaboration, financial tracking, invoicing, reporting, lead and candidate pipelines, and business intelligence for digital agencies, freelance teams, and service-based businesses. Features include a unified multi-channel inbox (Email, Upwork, Telegram, WhatsApp), client and employee portals, time logging, automated daily reports, invoicing, and integrations with third-party tools such as Slack and Resend.
2. Accounts and Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to promptly update it as needed. Notify us immediately of any unauthorized use of your account.
3. Roles and Access
The Service supports multiple roles, including organization owners and admins, employees and contractors, and clients. Owners and admins have full access to their organization workspace and are responsible for granting and revoking access, configuring billing, and managing data within the workspace. Employees access a scoped portal limited to the projects, tickets, and reports assigned to them. Clients access a portal limited to their own projects, intake forms, and invoices. You are responsible for the conduct of all users you invite into your workspace.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Send spam, unsolicited communications, or any unlawful, misleading, fraudulent, harassing, or deceptive messages through integrated channels (Email, Upwork, Telegram, WhatsApp, Slack).
- Upload or transmit malware, viruses, or any code intended to disrupt or damage the Service or its users.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
- Probe, scan, or test the vulnerability of the Service, or circumvent any security or access controls.
- Resell, sublicense, or provide the Service to third parties outside your organization without our written permission.
- Scrape, harvest, or collect data from third-party platforms in violation of those platforms' terms of service.
5. Your Content and Data
You retain all rights to the data, files, messages, invoices, reports, and other content you or your users submit to the Service (“Customer Data”). You grant Agencify a limited, worldwide, non-exclusive license to host, process, transmit, display, and back up Customer Data solely to operate, maintain, and improve the Service for you. You are responsible for the legality of Customer Data and for having any consents required to process it, including communications synced from Email, Upwork, Telegram, WhatsApp, and Slack.
6. Third-Party Integrations
The Service integrates with third-party platforms including Slack, Gmail and other IMAP/SMTP providers, Upwork, Telegram, WhatsApp, and Resend. When you connect your account to these services, you authorize Agencify to access and exchange data with them on your behalf, subject to the third party's own terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services, and any outage or change to their APIs may affect functionality.
7. Billing, Invoicing, and Payments
Subscription fees, trial terms, billing cycles, and supported currencies are specified on our pricing page or in a separate order form. Fees are non-refundable except where required by law. The Service also allows you to generate and send your own invoices to your clients. You are solely responsible for the content, accuracy, tax treatment, and collection of invoices you issue to your clients through the Service. Agencify is not a party to contracts between you and your clients, employees, or contractors.
8. Intellectual Property
The Service, including all software, design, text, graphics, logos, and trademarks, is owned by Agencify or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No other rights are granted by implication or otherwise.
9. Service Availability and Changes
We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may add, modify, or remove features at any time and may perform scheduled or emergency maintenance. We will provide reasonable notice of material changes that adversely affect existing functionality.
10. Suspension and Termination
You may cancel your account at any time from your workspace settings. We may suspend or terminate your access to the Service if you violate these Terms, if your account is overdue, or to protect the Service or other users. Upon termination, your right to use the Service ends immediately. We will make Customer Data available for export for a reasonable period after termination, after which it may be deleted.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Agencify does not warrant that the Service will meet your requirements, operate without interruption, or be free of errors, viruses, or other harmful components.
12. Limitation of Liability
To the maximum extent permitted by law, Agencify and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Service. Our aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amounts you paid to Agencify for the Service in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Agencify from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by email or in-app notification. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws applicable to the jurisdiction in which Agencify is established, without regard to conflict of law rules. Any disputes arising out of or relating to these Terms or the Service will be resolved in the competent courts of that jurisdiction, unless otherwise required by applicable law.
